Terms of Use
1. Introduction
Welcome to YODL, Gartenstrasse 6, 6300 Zug, Switzerland, a non-profit association created under the laws of Switzerland ("we", "our", "us"). These Terms of Use ("Terms") govern your use of our software, website and other services ("Services"). By using our Services, you agree to accept these Terms and to comply with them.
YODL does not provide financial services and is therefore not a regulated entity in Switzerland or any other country. YODL does at no point hold your virtual currencies or execute transactions/transfers of virtual currencies on any network.
2. Eligibility
You must be at least 18 years old and capable of entering into legally binding agreements to use our Services. By using our Services, you represent and warrant that you meet these eligibility requirements.
3. Account Registration
To use our Services, you might register for an account ("Account"). You agree to provide – where required – accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your Account credentials and for any activities or actions under your Account.
4. Our Services
Our Services assist you in completing data (front-end services) into your Web3 wallets for transfers in virtual currencies on various blockchains and/or based on smart contracts deployed one or more blockchain(s). Our Services do not include execution of such transfers, exchanges and/or custody in virtual currencies or the provision of wallet services. Any transfers or other transactions you execute by the assistance of our Services are executed solely by yourself and solely based on the transaction data in your third-party Web3 wallet. You are solely responsible for managing token approvals. We are not liable for losses resulting from granting more access to smart contracts than immediately necessary or unlimited access to smart contracts.
When using our Services, you might also use third-party services and products, such as third-party Web3 wallets, or the use of third-party exchange services in virtual currencies. We are not liable for any damage associated with transactions that you executed through your third-party Web3 wallet. In order to provide our Services, we might store your information on our servers. Please refer to our Privacy Policy for more information.
5. License
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for your personal or internal business purposes.
6. Prohibited Uses
You agree not to:
Use our Services for any illegal or unauthorized purpose.
Interfere with or disrupt the integrity or performance of our Services.
Attempt to gain unauthorized access to our Software, Services, or their related systems or networks.
Use our Services to infringe on the intellectual property rights of others.
7. Fees and Payments
You agree to pay all fees associated with your use of our Services in accordance with our pricing and payment terms, this includes in particular all fees related to the YODL network that are paid by you when you use our Services to make transfers in virtual currencies through your third-party Web3 wallets. All payments are non-refundable unless otherwise stated. YODL does not charge any gas prices or fees associated with your actual transfer from your Web3 wallet.
8. Intellectual Property
All intellectual property rights in our Services, including but not limited to software, logos, trademarks, and content, are owned by us or our licensors. You are not granted any rights or licenses in respect of any of our intellectual property, except as expressly provided in these Terms.
9. Privacy
Your use of our Services is subject to our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand how we collect, use, and protect your information.
10. Termination
We may terminate or suspend your access to our Services, without prior notice or liability, if you breach these Terms or for any other reason. Upon termination, your right to use our Services will immediately cease.
11. Disclaimers
Our Services are provided on an "as-is" and "as-available" basis. We disclaim all warranties, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that our Services will be uninterrupted, secure, or error-free.
12. Limitation of Liability
To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your use or inability to use our Services; (b) any unauthorized access to or use of our servers and/or any personal information stored therein; (c) any interruption or cessation of transmission to or from our Services; (d) any bugs, viruses, trojan horses, or the like that may be transmitted to or through our Services by any third-party; (e) any errors or omissions in any content or for any loss or damage incurred as a result of your use of any content posted, emailed, transmitted, or otherwise made available through our Services.
13. Third-party Services
No Endorsement: We do not endorse, warrant, or guarantee the third-party Services or their providers, in particular not for the Web3 wallets you use. The inclusion of any link to third-party Services does not imply our endorsement or recommendation of the third-party, its services, or its website. We do not cooperate, coordinate or share revenues with any third-party service providers.
No Liability for Third-Party Services: We shall not be liable for any loss, damage, or injury arising out of or in connection with the Third-Party Services. This includes, but is not limited to, any issues related to the quality, accuracy, timeliness, or completeness of the services provided by third parties.
Assumption of Risk: You acknowledge and agree that your use of Third-Party Services is at your own risk. You assume all responsibility for any interactions, transactions, or dealings with third-party providers.
Any transfers or other transactions you execute by the assistance of our Services are executed solely by yourself and solely based on the transaction data in your third-party Web3 wallet. We are not liable for any damage associated with transactions that you executed through your third-party Web3 wallet.
14. Indemnification
You agree to indemnify, defend, and hold harmless us, our affiliates, and our respective officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses, including without limitation reasonable legal and accounting fees, arising out of or in any way connected with your access to or use of our Services or your violation of these Terms.
15. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Switzerland, without regard to its conflict of law principles. Place of jurisdiction is Zug, Switzerland.
16. Changes to Terms
We reserve the right to modify these Terms at any time. If we make changes, we will provide notice by updating the date of these Terms. Your continued use of our Services after any such changes will constitute your acceptance of the new Terms.
